Das Kompetenzprofil deutscher Aufsichtsräte – Eine Analyse auf der Basis der Qualifikationsmatrix des DCGK 2022

According to recommendation C.1 of the DCGK 2022, publicly listed companies should disclose the competence profile of their supervisory board in the form of a qualification matrix in their corporate governance statement. This article examines the extent to which the qualifications matrices and the competencies contained therein differ, based on the annual reports of companies listed on the DAX, MDAX, and SDAX as of December 31, 2022. The results clearly show that both the choice of presentation of competencies within the qualifications matrix and the self-assessment of the degree of competency fulfillment are inconsistent. Furthermore, it can be observed that the disclosed competency fulfillment rate of shareholder representatives exceeds that of employee representatives. Overall, it is evident that the design of the qualification matrix allows for significant flexibility, which could be utilized to serve companies information strategies. The article provides insights into the initial implementation of the qualification matrix and offers detailed findings on the competence profile of German supervisory boards.
